Shelf Drilling (North Sea), Ltd. is not subject to the Norwegian Code of Practice for Corporate Governance (the “Corporate Governance Code”) or any other code of practice for corporate governance. Nonetheless the Board of Directors has a responsibility to ensure that the company has sound corporate governance mechanisms and may consider the requirements of the Corporate Governance Code in its decision making.
